1. Agreement to Terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "your", or the "Customer") and GoTrack.bd ("GoTrack.bd", "we", "us", or "our") governing your access to and use of our software-as-a-service platform, websites, APIs, and related services (collectively, the "Service").
By creating an account, starting a free trial, or otherwise using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you represent that you are authorised to bind that business to these Terms.
2. Definitions
- "Account" — the registered account through which you access the Service.
- "Shop" — a business profile you create within the Service (online/retail or wholesale).
- "Your Data" — products, orders, customer records, expenses, and other content you enter or import.
- "Subscription" — a paid plan that grants continued access to the Service after the free trial.
- "Integrations" — third-party services you connect, such as couriers, SMS, payment, or e-commerce platforms.
3. Eligibility & Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your password and any API credentials, and for all activity that occurs under your Account. Notify us promptly of any unauthorised use. You are responsible for the actions of managers and staff you add to your Shop and the permissions you grant them.
4. Free Trial
New accounts include a one-month free trial with access to the Service's features. No payment is required to start the trial. At the end of the trial, continued use of the Service requires an active paid Subscription. We may modify or discontinue trial offers at any time. We reserve the right to limit eligibility or revoke trials in cases of abuse.
5. Subscriptions & Billing
After the free trial, the Service is offered on a monthly Subscription based on your Shop type:
- Retail / online shops — 999 BDT per month.
- Wholesale businesses — 1,500 BDT per month.
Subscription payments are made through bKash. When a payment is confirmed, your Subscription is extended by 30 days. Subscriptions are renewed by you initiating payment; if your Subscription lapses, access to paid functionality may be restricted until payment is made.
Unless required by law, payments are non-refundable, including for partial periods or unused time. You are responsible for any taxes associated with your Subscription. We may change pricing or plan features; we will provide reasonable notice of material changes, and continued use after a change takes effect constitutes acceptance of the new pricing.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or deceptive purpose;
- Sell prohibited or illegal goods, or violate the policies of connected platforms (including Facebook, couriers, or payment providers);
- Send SMS or other messages without the recipient's required consent, or send spam;
- Upload malware, attempt to gain unauthorised access, or disrupt or overload the Service or its infrastructure;
- Reverse engineer, copy, resell, or sublicense the Service except as expressly permitted;
- Use the Service to infringe the intellectual property or privacy rights of others;
- Misuse APIs or exceed reasonable usage in a way that harms the Service or other users.
We may investigate and take appropriate action, including suspension or termination, for violations of this section.
7. Your Content & Data
You retain all ownership of Your Data. You grant GoTrack.bd a limited, non-exclusive licence to host, process, and transmit Your Data solely as needed to provide and improve the Service and to operate the Integrations you enable.
You are solely responsible for the accuracy, legality, and quality of Your Data, and for collecting and handling your customers' personal data lawfully — including obtaining any consent required before sending marketing messages. Our handling of personal data is described in our Privacy Policy. You are responsible for maintaining your own backups where appropriate.
8. Third-Party Integrations
The Service can connect to third-party services such as bKash (payments), Steadfast and Pathao (courier delivery), Bulk SMS BD (messaging), and WooCommerce/WordPress (order sync). These services are operated by third parties under their own terms and privacy policies. GoTrack.bd is not responsible for the availability, accuracy, security, or actions of any third-party service. You are responsible for your own accounts and credentials with those providers and for complying with their terms. If an Integration changes or becomes unavailable, related features of the Service may be affected.
9. Availability & Changes to the Service
We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. We may perform maintenance, modify, add, or remove features, and may suspend the Service temporarily when necessary. We will use reasonable efforts to limit disruption. We may also impose or adjust technical limits to protect the Service and its users.
10. Intellectual Property
The Service, including its software, design, branding, and content (excluding Your Data), is owned by GoTrack.bd and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. No rights are granted except as expressly stated. You may not use our name, logo, or trademarks without prior written permission.
11. Suspension & Termination
You may stop using the Service and request account closure at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, use the Service unlawfully, or where required by law or to protect the Service or other users.
Upon termination, your right to use the Service ends and access to paid functionality stops. Retention and deletion of Your Data after termination are handled as described in our Privacy Policy. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
12. Disclaimers
The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that analytics, reports, or third-party data will be accurate or complete. You use the Service and rely on its outputs at your own discretion and risk.
13. Limitation of Liability
To the maximum extent permitted by law, GoTrack.bd and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the total Subscription fees you paid to GoTrack.bd in the three (3) months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless GoTrack.bd and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Data, your use of the Service, your violation of these Terms or applicable law, or your infringement of the rights of any third party, including your customers.
15. Governing Law & Disputes
These Terms are governed by the laws of the People's Republic of Bangladesh, without regard to conflict-of-law principles. You agree that the courts located in Bangladesh will have jurisdiction over any dispute arising from these Terms or the Service, unless otherwise required by applicable law. We encourage you to contact us first so we can try to resolve any concern informally.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service.
